PLEASE READ VERY CAREFULLY THESE TERMS AND CONDITIONS BEFORE APPLYING FOR SERVICE WITH MENU NETWORK. PARTICIPATION WITH THIS SERVICE INDICATES THAT YOU ACCEPT THESE TERMS AND CONDITIONS. IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS, PLEASE DO NOT APPLY FOR OR PARTICIPATE IN THE MENU NETWORK SERVICE.

 These Terms & Conditions constitute your agreement with MenuNetwork (“MenuNetwork “, “we”, or “us”) for any services that we provide you.

User Accounts: You agree not to submit any abusive, obscene, vulgar, slanderous, hateful, threatening, sexually-oriented or any other material that may violate any applicable laws, this is applicable to both username(s) and comment(s). Doing so may lead to account termination and possible legal action.    MenuNetwork reserves the right to edit or delete any username or comment You may publish. No external urls are permitted, linked or unlinked.

Restaurants

1. Parties’ Responsibilities : You agree that all content (text or images) submitted for publishing within your menu is your property and give permission to Menu Network to publish the content while service is active. Menu Network is not responsible for any copyright infringement and the individual / party participating agrees to take full responsibility for content submitted for publishing.  You agree to pay for services in full on the billing cycle assigned to your account (Premium member). 

2. Prohibited Uses : You agree not to submit any abusive, obscene, vulgar, slanderous, hateful, threatening, sexually-oriented or any other material that may violate any applicable laws. Doing so may lead to account termination and possible legal action. Products and/or services that are not related to the food service industry are not permitted for advertising or publication.  Restaurants must have a savory menu in which the public can be made to order in a take-out, dine-in or delivery fashion.  No external urls are permitted, linked or unlinked.

3. Termination; Cancellation : You may terminate or suspend your account at any point.  No refund will be issued for terminating or suspending the account outside of the refund window set forth in the return policy if a Premium member. If payment is not made in five days after your assigned billing cycle due date your account will be suspended and removed from public view (Premium member).

4. Limited Uptime Guarantee : MenuNetwork makes no guarantee regarding server uptime. Uptime is defined when it’s possible for a computer to access data from the server to properly display Menu Network web content. Downtime is defined when it is not possible for any computer to access content from the server, slow data transfer speeds is not considered downtime. Menu Network is not responsible for Internet Service Provider (ISP) maintenance or issues that could limit view of the website on the user’s end. While Menu Network will attempt to keep downtime to a minimum You agree to a possible 168 hours (7 days) of downtime per billing cycle. In the event that downtime exceeds 168 hrs during a billing cycle you shall be compensated by an extension of service equal to one month of advertising credit.  Menu Network does not take responsibility for any loss of business nor will any compensation be made in the event of server downtime.

5. Refund Policy :

Monthly Subscription (Premium Member)

All sales are final after 7 days of service rendered from the recorded transaction. If cancellation is requested please send a registered letter, fax or e-mail for confirmation. Any compensation (if necessary after 7 days of service rendered) will be issued in the form of advertising credit toward your account.

6. Publicity : You agree that Menu Network may use Your name and logo in presentations, financial reports, print advertising and site publication. You are not permitted to use Menu Network's logos, names, service marks, domain names and other distinctive brand features unless you obtain written consent or if material has been provided to you for marketing purposes.  You agree to accept periodic e-mail from Menu Network regarding promotions, news and updates.

7. Representations and Warranties : You represent and warrant that (a) all of the information provided by You to Menu Network to enroll in the Service is correct and current; (b) You are the owner of each establishment or that You are legally authorized to act on behalf of the owner of such establishment(s) for the purposes of this Agreement and the Service; (c) You have all necessary right, power, and authority to enter into this Agreement and to perform the acts required of You hereunder. You further represent and warrant that each establishment and any material submitted for publication therein: (i) comply with all applicable laws, statutes, ordinances, and regulations; (ii) do not breach and have not breached any duty toward or rights of any person or entity including, without limitation, rights of intellectual property, publicity or privacy, or rights or duties under consumer protection, product liability, tort, or contract theories; and (iii) are not pornographic, hate-related or otherwise violent in content.

8. Content Editing / Modification : Menu Network reserves the right to edit any existing information and/or remove any images You may publish.  You will receive an email confirmation of edited content and if edited due to violation of terms and conditions set forth in this document the account may be suspended from public view until the account holder brings it back online by logging in to the account backoffice.

9. Standard Accounts: There is no fee associated with a Standard Account, You agree to have paid advertising displayed for public viewing on your public account page.  You may only have one account per owner / franchisee supporting one restaurant location.  If you own multiple locations across various cities you must upgrade to Premium Account status.

10. Menu Network Rights : You acknowledge that Menu Network owns all rights, title and interest and that You will not acquire any right, title, or interest in or to the service except as expressly set forth in this Agreement. You will not modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from any Menu Network services, documentation, or create or attempt to create a substitute or similar service or product through use of or access to the service or proprietary information related thereto. We reserve the right to change these terms without notice and by remaining in active service status You accept all revisions.
